can someone please tell me how to become an assassin, i was told i had to go the the underworks of the arena in vivic, but when i look i find nothing ecept this guy called dreamer?

No you have to find the Morag Tong Guild in Vivic. First go to the Arena Canton, then proceed to thewaistworks. From there go to the canal works on the left-hand side of the map. Go into the arena storage from that area and go i the locked door. There should be a trapdoor that say "Secert Area" or something like that. It leads to the Morag tong Guild, now just find the guildmaster and complete a simple quest for him (assassination) to prove that your worthy to become part of the Morag Tong Guild. Some advice: Your victim has a scroll of burst fire, it hurts like hell...

are there any stats changes to becoming an assassin? or any changes to your char. for becoming an assassin?

Nope. No changes; it's just like being a member of any other guild or faction.
