Been discussed but here you go...
Search the forum for a few hints. Basically use magic weapons, silver weapons, or spells. They are weak to lightning. They regenerate health quickly so you have to be relentless. They go invisible when they travel so use a Detect Life enchantment/potion to make 'em glow pink.

Well, you'll have a lot harder time of it if you're a melee character. To beat one like that, you have to use an enchanted, silver, or daedric blade. If you have any poisons to damage health, put them on. I suggest attacking quickly, because using power attacks gives the Will O' The Wisp plenty of time to drain lots of health from you.
A magic character can have one of them pretty easy. Just fire off your strongest lightning spell or summon a Storm Atronach if you can.

Buy a Staff of Apotheosis (sp) from Rendir in the Imperial City. The wisps will be toast, I guarantee.

Use the staff sparingly, it has very few shots and recharging sucks.
