My Rogue doesnt have shield proficiency, but I can still equip a magic shield.
His AC goes up, and I cant see any other stats go down.
Are there any applicable penalties or is this a hole ?

If you're not proficient with a shield (or armour for that matter) you should receive the armour check penalty towards any strength or dexterity based rolls.
ie, attacks, tumble checks, open lock, slight of hand, hide, move silently, even pure strength and dexterity rolls (ie breaking free from a web with a strength check).
If you are proficient you get to remove most of those penalties, and the armour check only applies to tumble, slight of hand, hide and move silently.
Hmm just checked with my rogue and I got the armour check penalty slapped two-fold for my attack rating. Can't figure that one out beyond yet another infamous bug.
If you managed to find a masterwork buckler (or indeed purchased one with the Co8 patch) then the rogue would get no penalties using it.
Oh and I apologise for my otherworldly spelling or armour. It's the norm where I'm from.
