I started with an assasin and got the use any item skill... Now i want to Dualclass to a kensei (cheese character but who cares?) so i need to dualclass to fighter and then go to shadowceeper and make the fighter a kensei?

Am i right here or do i have got something wrong?

When i dualclass with the use any item skill does it work with kensei? I mean can i use STUDDED LEATHER or must i start of as a kensei?

Yep, that sounds about correct. There might be a problem with your XP though, if you’re a lvl 24 thief (3,080,000), you’ll need another 4,250,000 to get to be lvl 25 ftr – that’s pretty close to the 8 mil cap…
As to the UAI issue – never tried it, but I’d think it this ability will not work when your’e a single class kensai, just like you can’t cast spells if dual-classed from a mage. But then again, traps work for thieves dualled to fighters before they get enough ftr levels… you’ll have to see for yourself…

What you should do is to go in to SK and change kit to kensai before you dual. Then go back and dual to a fighter and you will now be kensai level 1. If you dont change before you miss out on the AC bonus. And yes UAI will work as a level 1 kensai so you can wear whatever you want and wield carsomyr and use scrolls.

A much easier way to creating this combo character would be to start as a Kensai, and get all the HP, THAC0 bonuses and skill points in the weapons of choice, then turn thief. When your theif passes the Kensai level, you'll get all your skills back, but still advance in theif abilities, eventually attaining the use any item ability. You'd lose the ability to use, say, two-handed swords while you're a thief, but you'd get them back when you get use-any-item HLA.
