I will be dueling with a Kensai on multiplayer with my necromancer next week .
So far i know the guy will have Cloak of Mirroring and will be wielding Equalizer and Celes . Since i won't be able to cast 9th level spells without scrolls , i think i will start the fight with a disadvantage .
(I won't use ex cap remover)
I have 46 hit points so with a single hit i will be dead two times . I know that I should avoid that single hit .
I am a necromancer and i can't cast the opposing school spells (Illusion) .. I wonder being a necromancer effects the spells
that belongs to necromancy . I mean , do i cast "Finger of death" better than a mage ?
Any tips for the duel ?

First of all, you should have a good contigency/sequencer combo. I leave the details to you, but stoneskin and mirror image seems obivous.
I am not sure, but I don't think that area effect spells (such as fireball) are reflected by the cloak of mirroring. If they are, you could always cast greater malison + hold person. Summon some critters and watch him die slowly
Have some good scrolls ready... Imprisonment could be fun, but I don't know where (if at all) it can be purchased.

OK I just wrote a reply and after thinking a bit, I've decided to kill it all an rewrite a brand new one.
Have contingency, spell trigger, and sequencer activated, then rememorrize some spells in their place and then rest. They all should stay with you and you'll won't have to give up precious spell spots for those spells.
Mantle and Protection against Magic Weapons should be first spells you cast. That should put all hopes he had of winning to rest. Because with Mantle he HAS to have magic weapons to hit you, and with P.A.M.W. his magical weapons would be useless.
I'm 99% sure that those two spells stack, if they don't, just use Protection Against Magical weapons, because I doubt he'll be ready for that one and have normal weapons as backups. Or just use Improved Mantle, since it gives you protection from all weapons that's less than +4, and both the equalizer and the celestial fury are considered only +3. The downside is that Improved Mantle won't last too long.
Then Timestop or Maze to buy you some time. Summon a couple of creatures, but stay away from elementals.
Stun or Fear him with spells like Power Word: Sleep, Symbol: Stun, Stinking Cloud, Web, and the like to keep him incapacitated.
Then use Area of Effect spells to get past his Cloak. I would suggest Horrid Wilting, Incendiary Cloud, Cone of Cold, or if you can find some scrolls, Meteor Swarm.
Equip the Amulet of Power and Robe of Vecna to keep your casting time low, thus getting you the most out of your protection spells.
If he's a true kensai (not dual-classed) he would be helpless against your Protection Against Magic Weapons spell.
Have wand of fear, wand of fire, and wand of cloudkill as well to save you some spots for other spells in the book.
Also mages can use the Mask of King Strohm III, this will keep him from scoring crit hits against you.
And might give Tenser's Transformation a try, it gives you double hp but you won't be able to cast spells while under the spell's effect, so you will be limited wands and scrolls only. Tough call.
Death spell, Finger of Death, Petrification won't work against the cloak.
If the fight gets ugly and you get desperate, go Slayer on his ass. I dunno if you can use slayer in a duel but I doubt he'll see that one coming.

What you need is spells he cannot save against.
Maze i a good choice, gives you time to summon creatures.
be ready to cast greater mallison when he returns.
And spells that gives the opponent a negative modifier to his save.

Be sure to have something that protects you from silence.
If i where him, i would be wearing a ring of free action, since that is the greatest weapon you have against him...
so all hold spells are a gamble.

I'm not sure exactly how this works. If you can go invisible and he can't see you, he has no chance: just use the Staff of the Magi and re-equip it everytime you become visible. As a kensai with no back-up he has no defense against this (except Tome of Infinite Spells: True Seeing) and it just becomes a question of whether you can kill him.
If the game handles invisibility as if you are on the same side and he can still see and attack you, things will be tougher. Similarly, I don't know if area affect spells that only affect enemies like Greater Malaison will work.
Also, I'm not sure what the rules are for this. If you can give yourself 2 stacks of timestop scrolls (10 scrolls) the picture changes drastically.
Watch out for:
- Hits with Celestial Fury have a chance to stun you even through stone skin. However, you should have a good save vs spell.
- A level 19 Kensai will do about 30-40 damage per hit without crits so you'll probably survive one but won't survive 2.
- Protection from Magic Scrolls: I would outlaw them for this duel if you think at all that he might use them.
What not to do:
- Don't try to match him physically. Since he has the cloak you can't hurt him directly and unhindered he will kill monsters faster than you can summon them. Don't bother with going Slayer either. Any self-respecting Kensai would butcher the Slayer and you can't cast spells while shapechanged.
- Don't use damaging spells including area affect spells as they won't get through the cloak.
- Don't count on being able to stun/hold/etc him since if he's smart he'll have a free action item.
After thinking it over for a while, this is what I would do:
Memorize Simulacrums, have as many Time Stops and Imprisons as you can get in your quick slots. Cast Simulacrum, Simulacrum Time Stop, Imprison, Imprison, Time Stop, Imprison, Imprison, repeat.
Unless he's using the Scrolls of Protection this should kill him before he can do anything. Imprison gives no save, ignores magic resistance, and there is no item that protects against it.
For a solution that requires less dexterity, forget the Simulacrum and just do the Time Stop/Imprison yourself.
If you can't get Imprisons, you could try hitting him with Greater Maliason and/or Energy Drains then Disintegrates and/or Flesh to Stones. As suggested by Tigergutt, Maze then creating an army for when he gets back could be effective as well. Unless he's out of the way he can probably kill them faster than you can bring them in. Maze/Simulacrum/Fire Staff Army (see simulacrum strategy page) could do it...maybe.
